Terms of service

These Terms of Service (this "Agreement") are a binding contract between you ("Customer," "you," or "your") and QSNAPP, Inc. ("QSNAPP," "we," or "us"). This Agreement governs your access to and use of the Cloud Services.
Agreement Acceptance
By accepting these terms during sign-up or by accessing or using the services, you acknowledge that you have read and understood this Agreement, and that you are legally bound by its terms.
This Agreement contains a mandatory arbitration provision and class action/jury trial waiver. Please review Section 13 carefully.
1. Definitions
- Aggregated Data: Data derived from usage of the Services that is anonymized and aggregated.
- Authorized User: Customer personnel and agents permitted to access the Services.
- Customer Data: Information submitted by or on behalf of Customer through the Services.
- Documentation: End user documentation relating to the Services.
- Services:QSNAPP's hosted software platform.
- Third-Party Products: Third-party integrations used with the Services.
2. Access and Use
a. Provision of Access
Subject to compliance with this Agreement and applicable usage limitations, QSNAPP grants Customer a limited, non-exclusive, non-transferable right to access and use the Services for internal business purposes.
b. Documentation License
QSNAPP grants Customer a limited license to use documentation solely in connection with Customer's use of the Services.
c. Use Restrictions
Customer and Authorized Users may not copy, resell, reverse engineer, unlawfully access, or misuse the Services; introduce harmful code; or use the Services for unlawful, infringing, or competitive misuse.
3. Customer Responsibilities
- Customer is responsible for all Authorized User activity under its account.
- Customer remains responsible for Customer Data content, legality, and permissions.
- Customer is responsible for account credentials and Customer systems security.
4. Support
During an active subscription period, QSNAPP provides support through standard support channels, subject to applicable support tier and business hours.
5. Fees and Taxes
Paid services are invoiced per the applicable order. Fees are non-refundable unless required by law or explicitly stated otherwise. Customer is responsible for taxes, duties, and similar charges other than taxes on QSNAPP's income.
6. Confidential Information
Each party must protect confidential information received from the other and use it only to perform under this Agreement, subject to permitted legal disclosures and survival terms.
7. Personal Information
Use of personal information is governed by the Privacy Policy. Customer is responsible for lawful data processing and configuration decisions made in its own projects.
8. Intellectual Property Ownership; Feedback
QSNAPP retains all rights in the Services and related IP. Customer retains ownership of Customer Data. Feedback may be used by QSNAPP without restriction, provided Customer is not publicly identified without consent.
9. Warranties; Disclaimer
Except as expressly stated, services are provided "as is" and QSNAPP disclaims implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
10. Indemnification
Each party provides indemnities as specified in this Agreement, including IP-related claims and misuse-related claims, subject to exclusions and procedural requirements.
11. Limitations of Liability
Liability is limited as described in this Agreement. Certain categories of damages are excluded to the maximum extent permitted by applicable law.
12. Subscription Period and Termination
This Agreement remains in effect through the subscription term and renewals unless terminated under the Agreement's termination provisions.
13. Governing Law, Arbitration and Class Action/Jury Waiver
Claims are resolved under governing law and arbitration terms in this section. You may have a limited opt-out period for arbitration where applicable.
14. Miscellaneous
- Entire agreement, notices, force majeure, amendments, waivers, severability, and assignment.
- Export controls and U.S. government rights.
- Equitable relief and publicity rights.
